1. Introduction & Acceptance

These Terms and Conditions ("Terms") govern your use of the MediaGirii website (www.mediagirii.com) and any services provided by MediaGirii, a digital marketing agency registered and operating in Nagpur, Maharashtra, India.

By accessing our website, submitting a consultation request, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Services Offered

MediaGirii provides the following digital services to businesses and individuals:

• Search Engine Optimisation (SEO) — on-page, off-page, and technical SEO
• Google Ads Management — search, display, and performance campaigns
• Social Media Marketing — content creation, management, and paid ads
• Local SEO — Google Business Profile optimisation and local rankings
• Website Development — design and development of business websites
• Google 360° Virtual Tours — photography and Google Maps listing integration
• Google Business Profile (Google Listing) — setup, optimisation, and ongoing management
• Marketplace Management — e-commerce and marketplace optimisation

The specific scope of services for each client is defined in a separate Service Agreement or Proposal. These Terms apply in conjunction with that agreement.

3. Use of Website

By using our website, you agree that you will not:

• Use the website for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to any part of the website or its systems
• Copy, reproduce, or redistribute any content from this website without written permission
• Transmit any harmful, offensive, or spam content through our contact forms
• Misrepresent your identity or business when submitting any form

MediaGirii reserves the right to refuse service, suspend access, or terminate engagement with any user or client who violates these Terms.

4. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information about your business, goals, and requirements
• Supply necessary access (website login, ad account, social media accounts) in a timely manner
• Review and approve deliverables within agreed timelines
• Ensure that content, logos, or materials you provide to us do not infringe any third-party rights
• Make payments as per the agreed schedule

MediaGirii is not liable for delays or underperformance caused by a client's failure to provide required materials, access, or approvals.

5. Payments & Fees

5.1 Pricing

Service fees are communicated in our proposals or invoices. Prices are in Indian Rupees (INR) unless otherwise stated. All applicable taxes (including GST) will be added to invoices where required.

5.2 Payment Terms

• Payment is due as per the schedule outlined in your service agreement
• Standard retainer services require advance payment before work begins
• Project-based work may require a 50% deposit upfront and 50% on delivery
• Overdue payments may attract a late fee of 2% per month

5.3 Refund Policy

Due to the nature of digital services:

• Fees for completed work are non-refundable
• If you cancel a project before completion, you will be billed for work completed to date
• Prepaid retainer fees for the current billing period are non-refundable upon cancellation
• Disputes regarding deliverables must be raised within 7 days of delivery

6. Results & Performance

MediaGirii applies industry best practices and data-driven strategies to all campaigns. However, we do not guarantee specific outcomes including:

• A specific ranking position on Google or other search engines
• A specific number of leads, sales, or conversions
• A specific return on ad spend (ROAS) or ROI

Digital marketing results are influenced by many factors outside our control, including algorithm changes, market competition, budget, and client-side factors. We commit to transparency, regular reporting, and continuous optimisation.

7. Google 360° Virtual Tours

For 360° virtual tour services specifically:

• The photography and upload process is subject to Google's publishing timelines (typically 3–7 business days)
• Google Maps listing updates are controlled by Google and may vary
• The client must grant us temporary access to their Google Business Profile for upload
• We are not responsible for Google removing or modifying published tours at their discretion

8. Google Business Profile (Google Listing) Service

For Google Business Profile listing and management services:

• We will set up or optimise your Google Business Profile on your behalf using access you grant us
• Publishing and indexing timelines are controlled by Google and may take 3–14 business days
• You must provide accurate business information (name, address, phone, hours) — we are not liable for errors arising from incorrect information provided by you
• You confirm that you are the authorised owner or representative of the business being listed
• Google may suspend or remove listings at their discretion; we will assist with reinstatement but cannot guarantee outcomes

9. Intellectual Property

9.1 Our Content

All content on the MediaGirii website — including text, graphics, logos, case studies, and service descriptions — is the intellectual property of MediaGirii and is protected under applicable Indian copyright law. You may not copy or reuse it without written permission.

9.2 Deliverables

Creative deliverables produced for clients (ad copies, social media designs, website content) become the client's property upon full payment. Until then, MediaGirii retains ownership.

9.3 Client Materials

You grant us a limited licence to use your brand assets (logo, images, content) solely for the purpose of delivering the agreed services.

10. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the engagement. We will not disclose your business strategies, data, or unpublished campaigns to third parties without your consent, except as required by law.

11. Limitation of Liability

To the maximum extent permitted by law, MediaGirii shall not be liable for:

• Indirect, incidental, or consequential damages arising from use of our services
• Loss of revenue, business, or data resulting from our services or their interruption
• Actions taken by third-party platforms (Google, Meta, etc.) that affect campaign performance
• Any damage resulting from your failure to follow our recommendations

Our total liability to you for any claim shall not exceed the total fees paid by you to MediaGirii in the three months preceding the claim.

12. Termination

Either party may terminate an ongoing service agreement by providing 30 days' written notice. Upon termination:

• All outstanding invoices become immediately payable
• We will transfer your assets (ad accounts, content, reports) within 14 days
• Confidentiality obligations survive termination

MediaGirii may terminate immediately and without notice if a client violates these Terms, engages in fraudulent activity, or fails to make payment.

13. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall first be attempted to be resolved through mutual discussion. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Nagpur, Maharashtra, India.

14. Changes to These Terms

We may update these Terms from time to time. The current version will always be available at www.mediagirii.com/terms. Continued use of our services after changes constitutes your acceptance of the updated Terms. We recommend reviewing this page periodically.
